1. Introduction and Acceptance of Terms

These Terms and Conditions (the “Terms”) govern the use of the MASAT — Marketplace Seller Assistant platform, operated by S.C. MASAT DIGITAL S.R.L. (“the Company”, “We” or “MASAT”).

By accessing and using our services through the website www.masat.ro or the web application https://app.masat.ro/ (“the MASAT Application”), you acknowledge that you have read, understood and agree to comply fully with these Terms. If you do not agree, please do not use our services.

MASAT is a SaaS (Software as a Service) platform intended exclusively for professionals — sellers (companies, PFA, II, IF) operating on the eMAG marketplace — offering tools for analysis, monitoring and optimisation of commercial performance.

Business-to-business service. MASAT services are provided exclusively for professional purposes, in a relationship between professionals. You confirm that you purchase the subscription for the purposes of your commercial activity and not as a consumer. Consumer protection rules, including the statutory right of withdrawal under Romanian Government Emergency Ordinance no. 34/2014, do not apply automatically. MASAT nevertheless grants, contractually and voluntarily, a 14-day money-back guarantee under the Refund and Cancellation Policy.

The “MASAT — Marketplace Seller Assistant” trademark is registered with OSIM and owned exclusively by MASAT Digital S.R.L. Any unauthorised use of the name, logo or brand materials is strictly prohibited.

3. Definitions

  • “MASAT Platform” — the online application accessible at https://app.masat.ro/, together with its extensions and related services.
  • “User” — the company, PFA, II or IF that creates an account on the platform, together with the persons it authorises to use that account.
  • “MASAT Account” — the User’s virtual space granting access to the platform’s features.
  • “Subscription” — a monthly or annual plan offered by MASAT in exchange for payment.
  • “Free Version” — the free version of the platform, with limited functionality.
  • “eMAG” — the marketplace operated by Dante International S.A.
  • “eMAG API” — the official programming interface made available by eMAG to its sellers.
  • “eMAG Credentials” — the username and password of the User’s eMAG seller account, which the eMAG API requires for authentication.
  • “eMAG API Data” — the information obtained by connecting the User’s seller account through the official API.

4. Description of MASAT Services

MASAT offers eMAG sellers a suite of tools, available depending on the subscription plan:

  • Dashboard — centralised sales and performance data;
  • X Scan — estimated sales analysis and product potential;
  • PxL Calculator — net profit calculation including eMAG commissions, shipping and fulfilment costs;
  • Keyword Tracker — product position monitoring in eMAG search results;
  • Listing Optimizer — suggestions for titles, descriptions, attributes and product images, generated with the help of artificial intelligence;
  • BuyBox Guardian — notifies you when you lose the BuyButton on a product;
  • Campaign Estimator — estimates the results of advertising campaigns;
  • Expenses and Product Vault — cost tracking and product archive;
  • MASAT Academy — educational materials;
  • MASAT Chrome Extension — an auxiliary browsing tool.

The platform is web-based and requires no local installation. MASAT may add, change or withdraw features; the withdrawal of a material feature from a paid plan will be announced at least 30 days in advance.

5. Account Creation and Access

To use MASAT services, the User creates an account at https://app.masat.ro/ by completing a form with an e-mail address and a password of their choosing.

The User is responsible for maintaining the confidentiality of their login details; for all activity carried out through their account, including by employees and collaborators; for the accuracy of the billing and identification data provided; and for notifying MASAT immediately at office@masat.ro if unauthorised access is suspected.

6. Plans, Pricing and Payments

MASAT offers three types of plan: the Free Version, a monthly subscription and an annual subscription.

  • Plans are displayed in Euro (EUR). Payments are processed securely through Stripe. MASAT does not store card data.
  • Prices are shown exclusive of VAT unless stated otherwise. VAT applies according to the legislation in force and the User’s tax status, including the reverse charge mechanism for EU customers with a valid VAT number.
  • Each plan includes specific limits: number of eMAG integrations, number of monitored products, number of users, data refresh frequency and fair use limits. The applicable limits are displayed at masat.ro/pricing and inside the application and form part of this contract.
  • Fair use. MASAT may temporarily limit query frequency or data volume where usage significantly exceeds the plan average or affects the stability of the service, with prior notice where possible.

Price changes. MASAT may change subscription prices. For active subscriptions, a new price applies only from the next renewal and only if the User has been notified by e-mail at least 30 days in advance. The User may switch off automatic renewal before the new price takes effect.

Failed payments. If a recurring payment fails, MASAT may retry the charge and may suspend access to paid features 7 days after the first failed attempt, with prior notice.

7. Refunds and Cancellation

Refund and cancellation conditions are set out in the Refund and Cancellation Policy, which forms an integral part of these Terms. In the event of any inconsistency between this section and that policy, the Refund and Cancellation Policy prevails.

In short: a contractual guarantee of a full refund within 14 calendar days of purchase, processed exclusively through Stripe within a maximum of 7 business days from confirmation of the request.

8. Acceptable Use

The User must not:

  • extract, copy, resell or redistribute data obtained through the Platform to third parties, outside their own commercial activity;
  • use the Platform to access eMAG accounts that do not belong to them or for which they hold no written authorisation from the account holder;
  • automate access to the Platform through scripts, scraping or other unauthorised means;
  • reverse engineer or decompile the Platform, or attempt to circumvent plan limits;
  • use the Platform for unlawful purposes, for artificial market manipulation, for misleading commercial practices, or in breach of eMAG’s rules;
  • share the account with third parties outside their organisation;
  • upload to the Platform personal data unrelated to their activity as an eMAG seller.

Suspension and termination. MASAT may suspend or close a User’s account for breach of this section, for non-payment, or at the request of a competent authority. Except in cases of immediate security risk, fraud or legal obligation, MASAT will give 7 days’ notice and an opportunity to remedy. On termination, the User may export their own data for 30 days.

9. eMAG API Integration

MASAT uses the official eMAG Marketplace API, provided by Dante International S.A., to allow Users to connect their own seller accounts.

How the connection works. The eMAG API authenticates on the basis of the seller account’s username and password. The User enters these credentials in the application and, in addition, adds the partner IP address provided by MASAT into their eMAG panel, under My Account → Profile → Technical details. Without both steps, the integration cannot function. This is the mechanism required by eMAG and not a choice made by MASAT.

Credentials are encrypted in transit and at rest, are stored separately from application data, are not visible in clear text to MASAT personnel, and are used exclusively to connect to the User’s own account.

Read-only operation. MASAT currently operates in read-only mode with respect to the eMAG API: it retrieves and displays data, and does not create, modify or delete anything in the User’s eMAG account. BuyBox Guardian, for example, only notifies the User when the BuyButton is lost; it sends nothing to eMAG.

Future functionality. Should MASAT introduce features that write data to eMAG — such as automated price changes or advertising campaign management — these will be optional, described in a dedicated policy, notified at least 30 days in advance and subject to the User’s separate and explicit consent. They will not be activated by default.

The User remains the holder of the contractual relationship with Dante International S.A. and is responsible for complying with the eMAG API and Marketplace terms and conditions applicable to their account.

10. Service Availability and Maintenance

MASAT makes reasonable efforts to keep the Platform available and targets a monthly availability of 99.5%, excluding planned maintenance windows and force majeure events.

Planned maintenance is announced at least 48 hours in advance, by e-mail or in the application, and is generally carried out outside 09:00–18:00 Romanian time.

MASAT depends on the availability of eMAG’s systems. Unavailability, modification or limitation of the eMAG API does not constitute a failure attributable to MASAT.

11. Intellectual Property Rights

All intellectual property rights in the MASAT platform — source code, interface, graphics, text, design, algorithms and MASAT Academy materials — belong exclusively to MASAT Digital S.R.L. Reproduction, modification or redistribution without the Company’s written consent is prohibited.

Your data remains yours. MASAT acquires no ownership of the User’s commercial data. MASAT may use aggregated and anonymised data — which does not allow identification of the User, their products or their customers — for market statistics, service improvement and public materials. The User may object to this use by writing to office@masat.ro.

Content generated with the help of artificial intelligence through the Listing Optimizer is provided to the User for use in their own listings. The User is responsible for verifying it before publication and for ensuring that it does not infringe third-party rights.

12. Limitation of Liability

MASAT is an analytical and decision-support tool. The Company does not guarantee specific commercial outcomes and is not responsible for the business decisions of its Users.

MASAT is not liable for: errors, unavailability, changes or limitations of the eMAG API; losses resulting from data supplied incorrectly by eMAG; actions taken by eMAG in respect of the User’s account; or decisions taken by the User on the basis of information displayed in the Platform.

Liability cap. Except in cases of wilful misconduct, gross negligence, personal injury, or where the law does not permit limitation, MASAT’s total aggregate liability towards a User, for any claim arising out of or in connection with this contract, is limited to the amount actually paid by that User to MASAT during the 12 months preceding the event giving rise to the claim.

MASAT is not liable for indirect damages, loss of profit, loss of customers or loss of reputation.

13. Force Majeure

Neither party is liable for failure to perform caused by an event of force majeure or fortuitous event, including natural disasters, armed conflict, general strikes, major disruption of electronic communications networks or cloud infrastructure providers, large-scale cyber-attacks, or acts of public authorities. The affected party shall notify the other within 5 business days.

14. Data Protection

MASAT processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable national legislation. Two situations are distinguished:

  • MASAT as controller — for the User’s account, billing, support and marketing data. Details in the Privacy Policy.
  • MASAT as processor — for the personal data contained in the orders and documents retrieved from the User’s eMAG account, including data of the User’s end customers. This situation is governed by the Data Processing Agreement (DPA), which is accepted on account creation and forms an integral part of this contract.

15. Our relationship with eMAG

MASAT Digital S.R.L. is listed in the eMAG Service Providers Network (SPN), the official directory of tools and service providers for eMAG sellers. Our profile is available at marketplace.emag.ro/infocenter/emag-spn/masat.

Being listed in the SPN does not make MASAT part of Dante International S.A. (eMAG), and it does not mean that eMAG endorses, guarantees or assumes responsibility for our services or for the results you obtain by using them. MASAT Digital S.R.L. is an independent company and remains solely responsible for its platform. Any reference to eMAG is made to identify the marketplace to which the application connects.

16. Governing Law, Disputes and Jurisdiction

This contract is governed by Romanian law.

Any disputes will first be resolved amicably within 15 business days of written notification. Failing that, disputes will be settled by the competent courts at MASAT’s registered office, in Ilfov County, Romania.

Users who nonetheless qualify as consumers, to the extent the law recognises them as such, may also contact ANPC (www.anpc.ro) or use the European Online Dispute Resolution platform (ec.europa.eu/consumers/odr).

17. Assignment

The User may not assign this contract without MASAT’s written consent. MASAT may assign this contract in the context of a reorganisation, merger or transfer of business, with prior notice to the User.

18. Changes to these Terms

MASAT may update these Terms to reflect legislative, technical or operational changes.

  • For minor changes or clarifications, the updated version is published on www.masat.ro with the date indicated.
  • For substantial changes — in particular those concerning price, the scope of services, liability or data processing — MASAT will notify Users by e-mail and in the application at least 30 days before they take effect. Continued use of the Platform after that date constitutes acceptance. A User who does not accept may terminate the subscription without penalty, with a pro-rata refund of the unused period.
